By accessing or using Pixeva's services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing our services. These Terms apply to all visitors, users, and others who access or use the Service. By using the Service, you agree to be bound by these Terms.

Pixeva provides an AI-powered photo recognition platform that enables: - Event organizers to upload and manage event photos - Automatic facial recognition and indexing of photos - Guests to find photos of themselves using selfie search - Photo sharing and downloading capabilities We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time without prior notice.

**Account Creation:** - You must provide accurate and complete information when creating an account - You are responsible for maintaining the security of your account credentials - You must be at least 18 years old to create an account - One person or entity may not maintain more than one account **Account Responsibilities:** - You are responsible for all activities that occur under your account - You must notify us immediately of any unauthorized use - We reserve the right to suspend or terminate accounts that violate these Terms

You agree NOT to use the Service to: - Upload content that infringes on intellectual property rights - Upload illegal, harmful, or offensive content - Attempt to gain unauthorized access to our systems - Use the Service for any illegal purpose - Harass, abuse, or harm other users - Upload photos without proper consent from individuals depicted - Reverse engineer or attempt to extract our AI models - Use automated systems to access the Service without permission - Resell or redistribute the Service without authorization We reserve the right to remove any content that violates these terms and to terminate accounts of repeat offenders.

**Your Content:** - You retain ownership of photos and content you upload - By uploading content, you grant us a license to process, store, and display it as necessary to provide the Service - You represent that you have the right to upload all content **Promotional Use:** - By creating an account, you grant Pixeva a non-exclusive, worldwide, royalty-free right to use your company name, logo, and trademark to identify you as a customer on our website and in our marketing materials. - If you wish to opt-out of this promotional use, you must notify us in writing at admin@pixeva.co. **Our Content:** - The Service, including its design, features, and technology, is owned by Pixeva - Our trademarks, logos, and brand features may not be used without permission - The AI models and algorithms powering our facial recognition are proprietary **Feedback:** Any feedback, suggestions, or ideas you provide may be used by us without obligation to you.

Your use of the Service is also governed by our Privacy Policy. By using the Service, you consent to our collection and use of data as described in the Privacy Policy. **Facial Recognition:** - Our AI processes photos to detect and index faces - Face data is encrypted and stored securely - Face data is deleted when you delete your event or account - Guest selfies are processed and immediately deleted **Data Security:** We implement industry-standard security measures but cannot guarantee absolute security. You acknowledge this inherent risk.

**Subscription Plans:** - We offer various subscription tiers with different features and limits - Subscription fees are billed in advance on a monthly or annual basis - Prices are subject to change with 30 days notice **Payment Terms:** - Your payment is taken by a third-party payment provider, which is named at checkout and on your receipt. We currently use Stripe, and we may also use Paddle.com ("Paddle") as our online reseller and Merchant of Record for some or all orders - Where Paddle is the seller of record for your order, it processes your payment, issues your invoice or receipt, and collects and remits applicable sales tax, VAT and GST. Paddle's Checkout Buyer Terms (https://www.paddle.com/legal/checkout-buyer-terms) and privacy notice (https://www.paddle.com/legal/privacy) then also apply - Prices are listed in US dollars. Where your payment provider supports it, checkout may show the price in your local currency. Where applicable, taxes (such as GST or VAT) are added to the listed price and shown before you pay - You authorize us, through our payment provider, to charge your payment method for subscription fees - Failed payments may result in service suspension **Refunds:** - Subscriptions (Pro and Business): full refund if you ask within 14 days of your first payment - Event Passes and pay-as-you-go passes: full refund if you ask within 7 days of purchase and the pass has not been used for an event. Our team reviews each request - AI credit packs are non-refundable. Credits from an AI job that fails are returned to your balance automatically - Renewal charges are not refunded, so cancel before your renewal date if you do not want to continue - Refunds go back to your original payment method and cover the full amount you paid, including any tax shown on your receipt - To request a refund, email support@pixeva.co. Full details are in our Refund Policy at pixeva.co/refund - This does not affect any rights you have by law as a consumer **Cancellation:** - You may cancel your subscription at any time - Access continues until the end of your billing period - Cancelling stops future renewals. The rest of a period you have already paid for is not refunded, except as set out under Refunds above

**Uptime:** - We strive to maintain high availability but do not guarantee uninterrupted service - Scheduled maintenance will be announced in advance when possible - We are not liable for any downtime or service interruptions **Support:** - Support is provided based on your subscription tier - Response times vary by plan and issue severity - We reserve the right to limit support for abusive users

TO THE MAXIMUM EXTENT PERMITTED BY LAW: - The Service is provided "AS IS" without warranties of any kind - We disclaim all warranties, express or implied, including merchantability and fitness for a particular purpose - We are not liable for any indirect, incidental, special, or consequential damages - Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim - We are not responsible for the accuracy of facial recognition results Some jurisdictions do not allow limitation of liability, so some of these limitations may not apply to you.

You agree to indemnify and hold harmless Pixeva, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from: - Your use of the Service - Your violation of these Terms - Your violation of any third-party rights - Content you upload to the Service - Your violation of any applicable laws

**By You:** - You may terminate your account at any time through account settings - Upon termination, your data will be deleted according to our retention policy **By Us:** - We may terminate or suspend your account for violation of these Terms - We may terminate accounts that remain inactive for extended periods - We may terminate the Service entirely with reasonable notice **Effect of Termination:** - Your right to use the Service ceases immediately - Provisions that should survive termination will remain in effect

**Governing Law:** These Terms are governed by the laws of the Province of Ontario, Canada, without regard to conflict of law principles. **Arbitration:** Any disputes shall be resolved through binding arbitration in Ontario, Canada, except for claims that may be brought in small claims court. **Class Action Waiver:** You agree to resolve disputes individually and waive any right to participate in class actions. **Time Limit:** Any claim must be brought within one year of the event giving rise to the claim.

We reserve the right to modify these Terms at any time. We will notify you of material changes by: - Posting the updated Terms on our website - Sending an email to your registered address - Displaying a notice in the Service Your continued use of the Service after changes constitutes acceptance of the new Terms. If you do not agree to the changes, you must stop using the Service.
